1. Ликвидация юридического лица влечет его прекращение без перехода прав и обязанностей в порядке правопреемства к другим лицам.
2. Юридическое лицо может быть ликвидировано по решению суда в случаях, предусмотренных настоящим Кодексом, и в порядке, установленных Гражданским кодексом Кыргызской Республики, Законом Кыргызской Республики "О консервации, ликвидации и банкротстве банков".
3. Заявление о ликвидации юридического лица может быть подано в суд уполномоченным государственным органом, предусмотренным в настоящем Кодексе.
